Acceptance of the Terms of Use

These terms of use are entered into by and between You and Rau Neuropsychology, LLC (“Practice”, “we”, or “us”). The following terms and conditions, together with any documents they incorporate by reference (collectively, these “Terms of Use”), govern your access to and use of rauneuropsychology.com, including any content, functionality, and services (the “Website”). Please read the Terms of Use carefully before you start to use the Website.

By using the Website, you accept and agree to be bound and abide by these Terms of Use, our Privacy Policy, and our Notice of Privacy Practices, each incorporated herein by reference. If you do not agree to these Terms of Use, the Privacy Policy you must not access or use the Website.

This Website is offered and available to users who are 18 years of age or older.  Minors may not independently access, use, or submit information through this Website.  A parent or legal guardian may use this Website on behalf of a minor patient, including to request a consultation or submit intake-related information, and by doing so, accepts these Terms of Use on the minor's behalf and assumes responsibility for all use of the Website in connection with that minor.  By using this Website, you represent and warrant that you are of legal age to form a binding contract with the Practice and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Website.

No Patient-Provider Relationship

This Website is not intended to create a patient-provider relationship between you and the Practice.  A formal patient-provider relationship is established only after a signed service agreement and intake paperwork are completed.  You should not act or rely on any information on this Website without seeking the advice of a qualified medical or mental health provider.  The mere receipt by the Practice of an email, contact form, text message, or other communication does not create a patient-provider relationship or other obligations on behalf of the Practice.

Booking a complimentary telehealth consultation through this Website does not create a clinical, therapeutic, or contractual relationship between you and the Practice.  The consultation is a brief informational call to explore fit and answer general questions.  It is not a clinical appointment and cannot address emergencies, including thoughts of suicide or self-harm, thoughts of harming others, psychotic symptoms, severe changes in behavior or functioning, or any situation requiring urgent mental health care.

This Website is not monitored continuously.  Do not use this Website or any booking system to communicate urgent or time-sensitive concerns.

Reliance on Information Posted

The information presented on or through the Website and any of the associated websites, social media pages, newsletters, or documents is made available solely for general information purposes and is not a substitute for professional medical, psychological, or legal advice.We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor, or by anyone who may be informed of any of its contents. The Practice is entitled to amend, change, or delete all or part of the Website at any time without notice. 

This Website may include content provided by third parties, including materials provided by other users, bloggers, and third-party licensors, syndicators, aggregators, and/or reporting services. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by the Practice, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of the Practice. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.

Telehealth Services

The Practice provides telehealth services to patients pursuant to the Psychology Interjurisdictional Compact (PSYPACT) and applicable state law. Telehealth services are available only when the patient is physically located in one of the authorized jurisdictions at the time of the session.

Telehealth is not appropriate for all clinical situations. The Practice reserves the right to determine, in its professional judgment, when in-person evaluation is necessary and to decline or discontinue telehealth services accordingly.

Telehealth services are subject to all applicable federal and state laws. Additional terms, disclosures, and informed consent requirements applicable to telehealth services are provided as part of the Practice's patient intake process. Nothing in these Terms of Use limits or modifies any rights you have under applicable state or federal healthcare laws.

Accessing the Website

We reserve the right to withdraw or amend this Website, and any service or material that we provide on the Website, in our sole discretion and without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any certain period. From time to time, we may restrict access to some parts of the Website, or the entire Website for any or no reason without notice.

You are responsible for:

  • Making all arrangements necessary for you to have access to the Website.

  • Ensuring that all persons who access the Website through your internet connection are aware of these Terms of Use and comply with them.

To access the Website or some of the resources it offers, you may be asked to provide certain registration details or other information. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website, use any content from this site to train, fine-tune, or improve any machine learning or AI models, except as follows:

  • Your computer may temporarily store copies of Website materials in RAM incidental to your accessing and viewing those materials;

  • You may store files that are automatically cached by your Web browser for display enhancement purposes;

  • You may print or download one copy of a reasonable number of pages of the Website for your own personal, non-commercial use and not for further reproduction, publication, or distribution; and

  • If we provide social media features with certain content, you may take such actions as are enabled by those features.

You must not:

No right, title, or interest in or to the Website or any content on the Website is transferred to you, and all rights not expressly granted are reserved by the Practice. Any use of the Website not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, and other laws.

Trademarks

The Practice’s name, its logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Practice or its affiliates or licensors. You must not use such marks without the prior written permission of the Practice. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

Prohibited Uses

You may use the Website only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Website or its content:

  • To impersonate or attempt to impersonate the Practice, a Practice employee, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing).

  • To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Website, or which, as determined by us, may harm the Practice or users of the Website or expose them to liability.

  • Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.

  • Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Use and our Privacy Policy.

  • Be likely to deceive any person.

  • Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person.

Additionally, you agree not to:

  • Use the Website in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Website, including their ability to engage in real time activities through the Website.

Submissions

"Submission" means any comment, suggestion, feedback, testimonial, or similar content that you voluntarily post or transmit through a public or interactive feature of the Website.  Submission does not include consultation requests, appointment inquiries, intake-related communications, contact-form messages, or any information that contains personally identifiable information or protected health information; those communications are governed by our Privacy Policy and, where applicable, our Notice of Privacy Practices.

You shall remain the sole and exclusive owner of your Submission, and you shall be solely responsible for your Submission and the consequences of posting or publishing it. By providing a Submission, you grant us a non-exclusive, royalty-free, worldwide license to use, copy, display, and create derivative works of your Submission solely in connection with operating, maintaining, and promoting the Website and the Practice's services.  This license continues for so long as the Submission remains posted on the Website and terminates upon its removal, except that copies already distributed before removal may remain in circulation.  This license does not apply to any protected health information, as defined under HIPAA, which shall be governed exclusively by the Practice's Notice of Privacy Practices.

You acknowledge that any Submission is voluntary and may be displayed publicly on the Website.  The Practice has no obligation to post, use, or respond to any Submission and may remove any Submission at any time in its sole discretion.  Any information you transmit to us that does not qualify as a Submission, including consultation requests, appointment inquiries, contact-form messages, and intake-related communications, will be treated in accordance with our Privacy Policy and, where applicable, our Notice of Privacy Practices, and shall not be deemed public information.

By making a Submission, you waive the right to make any claim against us or any of our respective parents, subsidiaries, affiliates, employees, agents, directors, officers, and shareholders related to your Submission, including, but not limited to, unfair competition, invasion of privacy, negligence, breach of implied contract or breach of confidentiality, and you further waive all moral rights you may have in any materials uploaded or sent to us by you. You represent and warrant that you have all rights necessary to grant the licenses granted herein.

You represent and warrant that your Submissions: (a) shall be true, accurate, current, complete and not misleading, (b) shall not violate the rights of any third party, including, but not limited to, intellectual property and proprietary rights, (c) shall not be fraudulent or involve counterfeit or stolen information or items, (d) shall not violate any law, statute, ordinance or regulation and/or any right of a third party, (e) shall not create any liability for us, and (f) shall not violate the Prohibited Uses.

Monitoring and Enforcement; Termination

We have the right to:

  • Take any action with respect to the use of the Website that we deem necessary or appropriate in our sole discretion.

  • Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Website.

  • Terminate or suspend your access to all or part of the Website for any or no reason, including without limitation, any violation of these Terms of Use.

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Website. YOU WAIVE AND HOLD HARMLESS THE PRACTICE AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

Indemnification

You agree to defend, indemnify, and hold harmless the Practice, its affiliates, licensors, and service providers, and its and their respective officers, directors, members, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of the Website.

Governing Law and Jurisdiction

All matters relating to the Website and these Terms of Use and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Maryland without giving effect to any choice or conflict of law provision or rule (whether of the State of Maryland or any other jurisdiction).

Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Website shall be instituted exclusively in the federal or state courts having jurisdiction over Montgomery County, Maryland although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Use in your place of residence or any other relevant venue. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Arbitration

This arbitration provision applies solely to disputes arising out of or relating to these Terms of Use and your use of the Website.  It does not apply to any dispute relating to clinical care, professional negligence, informed consent, billing for clinical services, privacy rights under HIPAA or state law, or any matter governed by a separate patient service agreement, intake form, or Notice of Privacy Practices.  Those disputes are governed exclusively by the applicable patient agreement and applicable law.

Subject to the exclusions above, any dispute, claim, or controversy arising out of or relating to these Terms of Use or the Website that cannot be resolved informally shall be resolved by binding arbitration administered by JAMS under the JAMS Streamlined Arbitration Rules and Procedures then in effect, as modified by this section.  Either party may commence arbitration by delivering written notice to the other party that includes a brief description of the claim and the relief sought (“Arbitration Notice”).  If the parties are unable to agree on an arbitrator within thirty (30) days after delivery of the Arbitration Notice, JAMS shall appoint one in accordance with its rules.

Either party may bring an individual action in a small-claims court of competent jurisdiction as an alternative to arbitration, provided the claim falls within that court's jurisdictional limits.  Either party may also seek temporary or preliminary injunctive relief from a court of competent jurisdiction to preserve the status quo pending arbitration; any such court action shall not constitute a waiver of the right to arbitrate.

If an in-person hearing is required, it shall take place in Montgomery County, Maryland, unless you and the Practice agree otherwise or the arbitrator determines that requiring in-person attendance in Montgomery County would impose an undue hardship on you, in which case the hearing may be conducted by videoconference or telephone.  The Practice shall pay all JAMS filing and arbitration fees that exceed the amount you would have paid to file a claim in the small-claims court of your county of residence; all other costs shall be allocated in accordance with JAMS rules.

The arbitrator shall apply the substantive law of the State of Maryland (without regard to conflict-of-law principles) and may not contravene or vary any provision of these Terms of Use.  The arbitrator shall have authority to award any relief that a court of competent jurisdiction could award, including public injunctive relief to the extent required by applicable law.  If any portion of this arbitration provision is found to be unenforceable, the remaining portions shall continue in full force and effect.  If the class-action waiver below is found to be unenforceable as to a particular claim, that claim (and only that claim) shall proceed in court rather than in arbitration.

The award of the arbitrator shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.  Each party shall bear its own attorneys’ fees and costs in connection with any arbitration or related court proceeding, unless a statute or regulation applicable to the dispute expressly provides for fee-shifting.

YOU AGREE THAT ANY ARBITRATION UNDER THIS AGREEMENT WILL TAKE PLACE ON ANY INDIVIDUAL BASIS; CLASS ARBITRATION AND CLASS ACTIONS ARE NOT PERMITTED AND YOU AGREE TO GIVE UP THE ABILITY TO PARTICIPATE IN A CLASS ACTION.

Waiver and Severability

No waiver by the Practice of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Practice to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

Entire Agreement

The Terms of Use, our Privacy Policy, and our Notice of Privacy Practices constitute the sole and entire agreement between you and Rau Neuropsychology, LLC regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.

Changes to the Terms of Use

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use the Website thereafter.  Any amendment to the Arbitration or Class Action Waiver provisions will not apply retroactively to any dispute or claim that arose before the date the amendment was posted. Please look at the “LAST UPDATED” legend above to see when the Terms were last revised. 

Your continued use of the Website following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time so that you are aware of any changes because they are binding on you.
